Ganaf Tech Nig Ltd (the "Company") provides and operates various information technology services, software solutions, and digital platforms (collectively, the "Platform"). References in these Terms of Service (“Terms”) to Ganaf Tech, "the Company", "we", "our" or "us", refer to Ganaf Tech Nig Ltd depending on the context, and references to "you" or "your" refer to the persons or entities with whom the Company enters into these Terms.

All your interactions with the Platform and our services shall be in strict compliance with the policies, regulations, codes of conduct, and technical standards of Ganaf Tech Nig Ltd (the "Company Rules").

General Conditions

By agreeing to these Terms, you represent that you are at least of the age of legal consent in Nigeria.
You understand that these Terms form a valid and binding contract between you and the Company.
You may not use the Platform for any illegal or unauthorized purpose nor may you, in the use of the Platform, violate any laws of Nigeria (including but not limited to intellectual property and cybercrime laws).
You must not transmit any worms, viruses, or any code of a destructive or malicious nature.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Platform, software, or our proprietary services without express written permission from us.

Permissions and Warranties

You are not permitted to link any other website to the Platform without obtaining the express prior written consent of the Company.
Access to the Platform and use of our software is at your own risk. The Company does not warrant that the use of the Platform or any material downloaded from it will not cause damage to property, including but not limited to loss of data or computer virus infection.
The Company shall not be responsible for any loss, omission, or damage that may arise in connection with your use of the Platform due to IT infrastructure failure, server maintenance, or network downtime.
The responsibility for the security of your password and account credentials associated with the Platform shall solely be yours at all times.
The Company will make all reasonable attempts to ensure that the Platform and services are fully operational. However, the Company makes no guarantees as to the specific fitness for purpose of the Platform for your individual hardware or business environment.

Limitation of Liability

Under no circumstances shall the Company be liable directly or indirectly for special, punitive, or consequential damages that result in any way from your use of or inability to use the ICT services or Platform we supply, including but not limited to interruptions, delays in operation, or any failure of performance.

If you are dissatisfied with the Platform, our services, or any of these Terms and Conditions, your sole and exclusive remedy is to discontinue using the Platform and our services.

Where our site contains links to other sites or integrates with resources provided by third parties, these are provided for your information and functional utility only. Such links or integrations should not be interpreted as approval by us of those linked websites or the information/services you may obtain from them.

Refusal or Discontinuance of Service

The Company reserves the right to refuse or discontinue service to you at the Company's sole discretion. The Company may deny you access to all or part of the Platform without notice if you engage in any conduct that the Company believes violates these Terms, intellectual property rights, or the security of our infrastructure.

You agree that the Company has the right to monitor use of the Platform from time to time to ensure technical integrity and to disclose any information as necessary to satisfy any applicable law.

Security and Account Integrity

You agree that the security of your account password is solely your own responsibility. If you believe your account has been compromised, you must notify the Company immediately via email to info@ganaftech.com.

You shall be held responsible for any misuse of your account prior to the Company being properly notified. If any security violations are suspected, the Company has the right to suspend all access to your account pending an investigation. We further reserve the right to cooperate in any government or legal investigation regarding your use of the Platform.

Authorization of Electronic Mandates

In consideration of Ganaf Tech Nig Ltd acting on mandates or instructions given via the Platform regarding your service account, you confirm that:

Confidentiality: It is your responsibility to keep your username and password private to prevent unauthorized access to your service profile.
Instruction Validity: The Company is authorized to act on instructions transmitted via registered electronic channels under your name without bearing your physical signature.
Binding Nature: You are bound by every instruction sent via the Platform that has been acted upon by the Company before a revocation request is successfully received and processed.

Proprietary Rights and Intellectual Property

You acknowledge that the content, services, source code, and software (including but not limited to text, graphics, and logos) of the Company are protected by copyrights, trademarks, and other proprietary rights and laws. You are only permitted to use the software and services as expressly authorized by Ganaf Tech Nig Ltd.

Ownership of Data: Title to and intellectual property rights in the data you provide remain your property. However, you grant the Company permission to use, copy, store, and back up your data to ensure the provision of services and technical support.

Service Evolution: You acknowledge that as an ICT firm, the Company may update or change the features of the software/Platform to improve performance or security.

Disclaimer of Warranties

To the maximum extent permitted under applicable law, Ganaf Tech Nig Ltd services and materials are provided on an "as is" and "as available" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose. We do not warrant that the services will be error-free, uninterrupted, or free of harmful components.

Indemnification

You shall indemnify, defend, and hold Ganaf Tech Nig Ltd harmless from all liabilities, losses, and expenses (including attorney's fees) arising out of or related to your misuse of the Platform, breach of these Terms, or violation of any third-party rights (including intellectual property rights).

Survival and Governing Law

If any provision herein is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
